Frequently Asked Questions
For $99 a year, get a Colorado agent with a registered address on file, same-day scanning of legal documents, and compliance reminders before state deadlines.
What is a registered agent?
A registered agent is an individual or business entity designated to receive legal documents, service of process, and official correspondence on behalf of your Colorado business. They serve as your official point of contact with the Colorado Secretary of State and the courts.
Why does my business need a registered agent in Colorado?
Colorado law generally expects all registered business entities—including LLCs, corporations, and limited partnerships—to maintain a registered agent with a physical address in the state. This ensures the state and courts have a reliable way to deliver important legal notices and documents to your business.
Who can serve as a registered agent in Colorado?
Ready to get started? Just $99/year.
Get Started — $99/yrIndividuals must be 18 or older with a primary residence or usual place of business in Colorado. As of July 1, 2025, individual registered agents must verify residency by providing a valid Colorado driver's license or state ID number. Entity registered agents must be registered with the Colorado Secretary of State and in good standing.
What types of documents will I receive through my registered agent?
You'll receive service of process (lawsuits and legal claims), correspondence from the Colorado Secretary of State, tax notices, annual report reminders, and other official government documents. We scan and forward these documents the same day they arrive.
Can I be my own registered agent?
Colorado doesn't allow businesses to self-appoint as their own registered agent. You'll need to designate either an individual who meets the state's requirements or a professional registered agent service like us.
How do I change my registered agent to us?
Ready to get started? Just $99/year.
Get Started — $99/yrYou'll file a Statement of Change form with the Colorado Secretary of State, either online or by mail. The filing fee is $10. We can provide guidance on completing the form, and once it's processed, we'll immediately start receiving documents on your behalf.
What is Colorado's annual Periodic Report?
Colorado requires most business entities to file an annual Periodic Report with the Secretary of State. The filing fee is $25, and it must be filed online (paper filing is no longer accepted). Reports are due during a specific window each year based on your entity type. A $50 late fee applies if you file in months 6-7 of your filing window.
How often does Colorado require annual reports?
The Periodic Report is filed annually. The timing varies based on your entity type and anniversary month, but you'll typically have a several-month window to complete your filing each year.
Does the Colorado Secretary of State offer online services?
Ready to get started? Just $99/year.
Get Started — $99/yrYes, the Colorado Secretary of State maintains an online portal for business filings, entity searches, and document submissions. You can file formation documents, annual reports, and agent changes through their website at sos.state.co.us.
Why do we only cost $99 per year?
We focus on providing fast, reliable service without unnecessary overhead. By keeping operations efficient and pricing transparent, we can offer same-day document handling and full compliance support at a lower cost than many competitors who charge $125 to $436 annually.
What's included in the $99 annual fee?
Everything you need: a registered office address in Colorado, SOP scanning for Colorado, compliance reminders and alerts, online document portal access, and privacy protection. There are no hidden fees.
How quickly do you forward documents?
Ready to get started? Just $99/year.
Get Started — $99/yrWe scan and email documents the same day they arrive at our office, then forward the originals to your preferred mailing address. Speed matters when legal deadlines are involved, so we prioritize fast turnaround.
How do I sign up for service?
Visit our checkout page to get started. We'll collect your business information, provide your registered agent address for state filings, and set up your online document portal access. If you're switching from another agent, we'll walk you through the change process.
Can I have business mail sent to your Colorado office?
Certain categories of mail can land at our Colorado office address. Each category has its own rule, and you should understand all of them before signing up.
Process service is unconditional. Whenever a process server delivers paperwork against your Colorado entity — court summons, subpoena, wage garnishment, anything that statutorily must reach an agent — we image the document the same business day, push it to your portal, and never bill for the work. Volume is uncapped.
Government mail is where most of the confusion lives. Letters from the Colorado Secretary of State, the Colorado Department of Revenue, the IRS, periodic report reminders, EIN confirmations — these all qualify. Within a calendar year, the first three pieces ride along free of any extra charge. Starting with the fourth piece, every additional letter carries its own line item: either a fee to scan the page, or a fee to ship the original, decided per letter and never combined.
Parcels are refused. So are Google's local-business verification cards, Amazon's seller-onboarding verification envelopes, and the larger category of third-party trust mail. Direct-mail advertising and general business correspondence are likewise outside our scope.
The $99/yr fee does not buy any free physical forwarding, anywhere. Whenever a paper item needs to leave our Colorado office and travel to you, it incurs a per-shipment line charge.
For real inbound mail volume, the Colorado virtual mailbox is offered on its own subscription, with its own line item, distinct from registered agent service.
What happens if I miss my annual report deadline?
Ready to get started? Just $99/year.
Get Started — $99/yrColorado imposes a $50 late fee if your Periodic Report is filed during months 6-7 of your filing window. If you continue to miss deadlines, the Secretary of State may administratively dissolve your entity. We send compliance reminders to help you avoid these issues.
Do you serve businesses outside of Colorado?
We specifically serve businesses registered in Colorado. If your business operates in multiple states, you'll need a registered agent in each state where you're registered to do business.
